CONVERSION OF 3.95 PER CENT. CONVERTIBLE BONDS DUE 2010
Liberty International PLC (the "Company") announces that in exchange
for an aggregate cash payment of £484,800, investors in the Bonds
have agreed to submit conversion notices for a total of £4.04 million
of Bonds, representing 5 per cent. of the £83.28 million of Bonds
outstanding on 24 December 2008.
In accordance with their terms, the Bonds referred to above will
convert into 505,000 new ordinary shares of the Company (the
"Shares") on the basis of 125 Shares per £1000 of Bonds converted,
increasing the Company's issued ordinary share capital (excluding
shares held in treasury) from 365.2 million to 365.7 million ordinary
shares.
